  8. ESRI DATA LICENSE AGREEMENT
  9.

  11. This is a license agreement, and not an agreement for sale, between the end user (Licensee) 
  12. and Environmental Systems Research Institute, Inc. (ESRI).  This License Agreement 
  13. (Agreement) gives Licensee certain limited rights to use the proprietary selected data layers 
  14. from the ESRI¿ ArcWorld¬ 1:3M Data Set and Digital Chart of the World in database 
  15. (Data Layer) and Related Materials.. All rights not specifically granted in this Agreement 
  16. are reserved to ESRI.
  17.  
  18. Reservation of Ownership and Grant of License: ESRI retains exclusive 
  19. ownership of the Data Layer licensed under this Agreement and, hereby, grant to Licensee 
  20. a personal, nonexclusive, nontransferable license to use the Data Layer based on the terms 
  21. and conditions of this Agreement. Licensee agrees to use reasonable effort to protect the 
  22. Data Layer from unauthorized use, reproduction, distribution, or publication.
  23.  
  24. Copyright: The Data Layer is owned by ESRI and is protected by United States copyright 
  25. laws and applicable international copyright treaties and/or conventions.
  26.  
  27. Proprietary Rights: Licensee acknowledges that the Data Layer contains proprietary and 
  28. confidential property of ESRI.  All published hard-copy renditions of the Data Layer, of 
  29. any portion of the Data Layer, or of derived versions of the Data Layer shall include a 
  30. statement acknowledging Environmental Systems Research Institute, Inc. as the source of 
  31. the portion of the Data Layer that is displayed, printed, or plotted.

  33. Permitted Uses: 
  34. *    Licensee may modify the Data Layer and merge with other data sets with the Data 
  35. Layer for Licensee's own internal use. The portions of the Data Layer that are 
  36. merged with other data sets will continue to be subject to the terms and conditions 
  37. of this Agreement. 
  38. *    Licensee may install the Data Layer or portions of the Data Layer onto permanent 
  39. storage device(s) for access by a user or users within your organization, as per the 
  40. version licensed.
  41. *    Licensee may make only one (1) copy of the original Data for archival purposes 
  42. unless the right to make additional copies is granted to Licensee in writing by ESRI. 
  43. *    Licensee may sell, market, or otherwise distribute published hard-copy renditions 
  44. of the Data Layer or portions of the Data Layer, provided that Licensee 
  45. acknowledges ESRI╒s property rights in the Data Layer. 
  46.  
  47. Uses Not Permitted:
  48. *    Licensee shall not sell, rent, lease, sublicense, lend, assign, time-share, or transfer, 
  49. in whole or in part, or provide unlicensed Third Parties access to the Data Layer or 
  50. Licensee's rights under this Agreement. 
  51. *    Licensee shall not remarket or redistribute the Data Layer or any derived Data Layer 
  52. product in digital form to unlicensed Third Parties. 
  53. *    Licensee shall not remove or obscure any copyright, proprietary, or trademark 
  54. notices. 
  55.  
  56. Term: The license granted by this Agreement shall commence upon Licensee's receipt of 
  57. the Data Layer and shall continue until such time that (1) Licensee elects to discontinue use 
  58. of the Data Layer and terminates the Agreement or (2) ESRI terminates for Licensee's 
  59. material breach of this Agreement. Upon termination of this Agreement in either instance, 
  60. Licensee shall then return to ESRI the Data and Related Materials. The parties hereby agree 
  61. that all provisions that operate to protect the rights of ESRI shall remain in force should 
  62. breach occur.
  63.  
  64. Limited Warranty: Licensee acknowledges that the Data Layer may contain some 
  65. nonconformities, defects, or errors. ESRI does not warrant that the Data Layer will meet 
  66. Licensee's needs or expectations, that the use of the Data Layer will be uninterrupted, or 
  67. that all nonconformities can or will be corrected. ESRI is not inviting reliance on these data, 
  68. and Licensee should always verify actual data.
  69.  
  70. THE DATA LAYER IS PROVIDED "AS IS," WITHOUT WARRANTY OF 
  71. ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT 
  72. LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY 
  73. AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO 
  74. THE DATA LAYER.
  75.  
  76. ESRI shall not be liable for indirect, special, incidental, or consequential damages related to 
  77. Licensees use of the Data Layer, even if ESRI is advised of the possibility of such 
  78. damage.
  79.  
  80. U.S. Government Restricted/Limited Rights: At a minimum, use, duplication, and 
  81. disclosure by the Government are subject to restrictions as set forth in FAR ñ52.227-14 
  82. Alternate I, II, and III (JUN 1987); FAR ñ52.227-19 (JUN 1987), and/or FAR 
  83. ñ12.211/12.212 (Commercial Technical Data/Computer Software), and DFARS ñ252.227-
  84. 7015 (NOV 1995) [Technical Data] and/or DFARS ñ252.7202 [Computer Software], as 
  85. applicable. Contractor/Manufacturer is Environmental Systems Research Institute, Inc.,
